At Bradley, Gmelich & Wellerstein LLP, our business lawyers arm our California business clients with the knowledge and representation they need to make sound business decisions. We work with companies of all sizes from startups to high-growth companies to large corporations in a variety of industries. Our business law services range from ongoing advice and counseling as outside general counsel to transaction-specific services including corporate formation and governance, financing and sale of the business. As companies grow, our Employment Law team works with them, as well, to support all of their legal obligations with respect to their employees.

Our extensive experience in business litigation and general transactional practice enables us to recognize the various possible avenues to execute a transaction and to present clients with a range of options. We understand that although two businesses must come together to make a deal, sometimes the most favorable terms are not possible, so other options must be explored. We work closely with our clients to analyze every aspect of a transaction to help our clients decide what is best for their business.

Entity Formation

We help businesses from their inception to utilize the corporate structure that is most advantageous to business owners. We create and file the necessary documentation with the State of California and other regulatory entities as necessary to ensure business operations are in compliance with state and local law.

Assets/Equity

We work with clients to develop and implement the financing needing to operate and grow their businesses. This includes securing debt financing and/or developing and implementing equity financing strategies to best suit their needs.

Contracts

We work with business clients on contract strategy, negotiations, drafting, execution and administration. The details of service agreements, sale of goods contracts and other agreements can be the most important factor in determining whether the business relationship will be profitable and within acceptable risks. We know our clients’ businesses and industries well and draft and revise these documents with an eye toward achieving their business goals.

Mergers & Acquisitions

Selling or buying another business may be one of the most important decisions that business owners and executives make. We advise on the legal aspects of transactions, negotiate the terms of sale, draft all relevant transactional documents and ensure that deals close in a timely manner. We work closely with CPAs and other business advisors to ensure that all tax and other ramifications are considered

Intellectual Property

Intellectual property can comprise some of a company’s most significant assets. We advise clients on how best to protect their copyrights and trademarks to avoid infringement by competitors. We also regularly advise businesses on strategies to protect proprietary information from unfair competition and the misappropriation of trade secrets, including representing businesses and individuals in the resolution of trade secret disputes.

Litigation

From time to time, business disputes do arise. When they do, our Litigation Team is prepared to assist our business clients with all types of commercial and civil litigation. Licensing and Audits

Private security guard licensing in California is very complex with myriad of rules and regulations enforced by the Bureau of Security and Investigative Services. Through our extensive years of experience representing Private Patrol Operators of all sizes, we have the skill and know-how to assist businesses in becoming and remaining legal and compliant in all aspects of private security programs and licensing. We prepare private patrol operators for administrative audits to minimize risks inherent in the process.
